02 Service Description
SEMPL provides a digital document storage and management platform combined with physical NFC-enabled products (keychains or cards) that allow users to:
Secure Upload & Storage
Upload and store documents securely in encrypted cloud storage.
Mobile App Access
Access documents via the SEMPL mobile application at any time.
NFC Instant Access
Use NFC technology for one-tap instant document access.
Secure Sharing
Share documents securely with authorized parties only.
03 User Responsibilities
3.1 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify SEMPL of any unauthorized use.
3.2 Content Responsibility
You are solely responsible for all documents and content you upload to SEMPL. You warrant that you have the right to upload, store, and share all content on our platform.
3.3 Prohibited Use
You agree not to use SEMPL for any unlawful purpose or in any way that violates these terms, including but not limited to:
- Uploading illegal, harmful, or offensive content
- Violating intellectual property rights
- Attempting to breach security measures
- Interfering with the service or other users
04 NFC Product Terms
The SEMPL NFC keychain or card must be linked to your account to function. It enables quick access to your document hub when tapped on NFC-enabled smartphones.
SEMPL is not liable for physical damage, loss, or theft of NFC products. NFC functionality requires a compatible smartphone with NFC capability enabled.
Damaged NFC products can be replaced for a fee. Please contact support for replacement procedures and current pricing.
05 Service Availability
While we strive for 99.9% uptime, SEMPL does not guarantee uninterrupted service availability. Scheduled maintenance will be communicated in advance when possible. We are not liable for service interruptions due to factors beyond our control.
06 Data Backup
While SEMPL implements robust backup procedures, we strongly recommend users maintain their own backup copies of critical documents. SEMPL is not responsible for data loss due to user error or unforeseen circumstances.
07 Intellectual Property
All SEMPL branding, logos, software, and proprietary technology remain the property of SEMPL. Users retain ownership of their uploaded documents but grant SEMPL a license to store and process them as necessary to provide the service.
08 Limitation of Liability
To the maximum extent permitted by law, SEMPL and its affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from:

09 Indemnification
You agree to indemnify and hold SEMPL harmless from any claims, damages, or expenses arising from your use of the service, violation of these terms, or infringement of any rights of another party.
10 Termination
SEMPL reserves the right to suspend or terminate accounts that violate these terms.
Upon termination, you will have 30 days to download your documents before they are permanently deleted. This action is irreversible.
11 Governing Law
These Terms and Conditions are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Maharashtra, India.
12 Changes to Terms
SEMPL may update these terms periodically. Continued use of the service after changes constitutes acceptance of the modified terms. Significant changes will be communicated via email or app notification.
